Fair Market Value

Fair Market Value. The average of the closing prices of the Common Stock of the Corporation from the five days immediately prior to the date the Exercise Notice is received by the Corporation.

Fair Market Value. Means, as of any applicable date, the average closing sale price (or if unavailable the last reported bid price) of a Common Unit for the ten trading days immediately preceding such date, as reported on the principal exchange or market on which the Common Units are traded as reported in The Wall Street Journal or such other reporting service as approved by the Committee.

Fair Market Value. For any given date, the average of the highest and lowest per-share sales prices for Shares during normal business hours on the New York Stock Exchange for the immediately preceding trading date, as reported by such source as the Committee may select

Fair Market Value. Of an Employee Share means the fair market value thereof as determined in good faith by the Committee or, in the absence of the Committee, by the Board.
