FAIR SHARE

FAIR SHARE. Shall mean, with respect to any Subsidiary Guarantor at any time, an amount equal to (i) a fraction, the numerator of which is the Adjusted Maximum Guaranty Amount of such Subsidiary Guarantor and the denominator of which is the aggregate Adjusted Maximum Guaranty Amounts of all Subsidiary Guarantors, multiplied by (ii) the aggregate amount paid by all Funding Subsidiary Guarantors under this Guaranty at or prior to such time.
