Family Transfer

Family Transfer. Of Shares shall mean a Transfer (i) pursuant to applicable laws of descent and distribution or (ii) among a Shareholder's family group; provided that the restrictions of this Agreement will continue to be applicable to the Shares after any such transfer and the transferees of such Shares shall agree in writing to be bound by the provisions of this Agreement.

Family Transfer. Means a transfer to a spouse, lineal descendent, or a trust --------------- for the benefit of transferor, spouse or lineal descendent, provided that in the case of each such transfer, the transfer is made in compliance with applicable federal and state securities law and the transferee agrees to be bound by the terms of this Agreement.
