FCC Consent

FCC Consent. Means the action taken by the FCC or ----------- its Mass Media Bureau granting the Assignment Application without any condition which in the Purchaser's reasonable judgement is or would be materially adverse to Purchaser, thereby granting consent by the FCC to the assignment of the FCC Authorizations from Seller to Purchaser.
