FFL Registrable Securities

FFL Registrable Securities. Means, at any time, all of the then issued and outstanding (a) shares of Common Stock issued to the FFL Investors pursuant to the Subscription Agreements, (b) shares of Common Stock issued or issuable to the FFL Investors upon conversion of any shares of Preferred Stock issued to the FFL Investors pursuant to the Subscription Agreements, (c) shares of Common Stock issued or issuable upon exercise of the Investor Warrants issued to the FFL Investors pursuant to the Subscription Agreements, (d)... shares of Common Stock purchased by or issued from time to time to the FFL Investors, (e) shares of any class of Common Stock into which such shares of Common Stock have been converted and (f) shares of Common Stock issued with respect to such shares by way of stock dividend or stock split or in connection with any merger, consolidation, recapitalization or other reorganization affecting the Common Stock. FFL Registrable Securities will continue to be FFL Registrable Securities in the hands of any Holder and each Holder thereof will succeed to the rights and obligations of a Holder of FFL Registrable Securities hereunder, provided that shares of FFL Registrable Securities will cease to be FFL Registrable Securities when transferred (i) to the Company, (ii) to a holder of Other Registrable Securities, or (iii) pursuant to a Public Sale.
