Filing Date

Filing Date. Has the meaning set forth in the recitals above.

Filing Date. Means the earlier of (A) the one hundred fiftieth (150th) day following the Closing Date or (B) the thirtieth (30th) day following the closing date of the Subsequent Common Stock Financing.

Filing Date. Means, with respect to the Closing Shares issued to the Holder under the terms of the Security Agreement, the date which is thirty (30) days after the date hereof.

Means (a) with respect to the Initial Registration Statement, the 45th day following receipt by the Company of a Registration Demand, and (b) with respect to any Additional Registration Statements required to be filed due to SEC Restrictions, the 30th day following the applicable Restriction Termination Date.

Filing Date. Means the 20(th) business day following the Closing Date.

Filing Date. Means the fifteenth (15th) day following the filing of the Company's Form 10-QSB for the fiscal quarter ended March 31, 2006, but in no event later than May 30, 2006; provided that, if the Filing Date falls on a Saturday, Sunday or any other day which shall be a legal holiday or a day on which the Commission is authorized or required by law or other government actions to close, the Effectiveness Date shall be the following Business Day.
