Final Liquidity Event. Any of (i) the sale of all or substantially all of the Project Company's equity securities or consolidated assets, (ii) the liquidation, dissolution or winding up of the Project Company and its subsidiaries, if any, or (iii) the sale of all or substantially all of the Investor's equity interest in the Project Company to a non-Affiliated third party (other than as permitted in Section 11)
