Final Transition Events

Final Transition Events. Shall mean the following, unless SWS expressly waives or agrees to postpone any of the following conditions in writing: (i) the execution and delivery of an agreement between SWS and [*] for the provision of TRX/[*] Services by SWS to [*] with respect to [*] and (ii) the termination of TRX's obligation to provide the TRX/[*] Services to [*] with respect to [*] pursuant to the TRX/[*] Agreement.
