Example Definitions of "Financing Transaction"
Financing Transaction. Shall mean any transaction involving the issuance, sale or other disposition of (i) any capital stock of the Company, (ii) any option, call, warrant or right (whether or not immediately exercisable) to acquire any capital stock of the Company, or (iii) any security, instrument or obligation that is or may become convertible into or exchangeable for any capital stock of the Company, in each case where the purpose of which is to raise capital for the Company.
Financing Transaction. Means a financing transaction involving the sale of securities of the Company for a minimum of $17,500,000 through a private placement which is to take place within 12 months of the Closing..
Financing Transaction. Means that the Maker or any of its Subsidiaries engages in a debt, equity or any other financing or series of financing transactions...
Financing Transaction. Shall mean, directly or indirectly whether in a single transaction or a series of related transactions, a private or public offering or issuance of the equity securities or indedebtedness of the Company (including, for the avoidance of doubt its affiliates, subsidiaries, successors and assigns) for cash, assumption or incurrence of indebtedness, securities or other consideration to any party.
Financing Transaction. Shall have the definition assigned to such term in the Convertible Notes.
