Financing

Financing. Shall mean the first closing of the Company's first sale of its equity securities following the date hereof with aggregate gross proceeds to the Company of at least $2,000,000 (including the conversion of the Obligations less any applicable accrued interest hereunder and other converted indebtedness of the Company).

Financing.
