Example Definitions of "Fines"
Fines. The meanings provided in the Delaware General Corporation Law ("DGCL") Section 145(i) as in effect on the date of this Agreement.
Fines. Shall include any excise tax assessed on a person with respect to any employee benefit plan pursuant to applicable law.

Fines. Any (i) excise taxes assessed with respect to any employee benefit plan and (ii) penalties
Fines. In addition to fines, any excise taxes assessed on Indemnitee with respect to an employee benefit plan. For purposes of this Agreement, if Indemnitee acted in good faith and in a manner Indemnitee reasonably believed to be in the interest of the participants and beneficiaries of an employee benefit plan, Indemnitee shall be deemed to have acted in a manner "in the best interests of the Company" as referred to in this Agreement.
