Fines

Fines. Any fine or penalty including, with respect to an employee benefit plan, any excise tax assessed with respect thereto.

Fines. Shall not include any excise tax assessed with respect to any employee benefit plan.

Fines. The meanings provided in the Delaware General Corporation Law ("DGCL") Section 145(i) as in effect on the date of this Agreement.
