First Financing

First Financing. Means the actual receipt (and not merely a commitment, covenant, or other contractual obligation to invest) by the Company of an investment in the amount of at least Four Million Dollars (USD$4,000,000) in exchange for no more than 3,200,000 shares of the Company's Common Stock sold at the First Closing Share Price.
