Consent dated as of even date (the "First Lien Amendment"), by and among the Loan Parties, the First Lien Agent and the First Lien Lenders, a true and complete copy of which is annexed hereto as Exhibit A, to the extent such consent is required pursuant to Section 5.2(a) of the Intercreditor Agreement.
