FIRST SP AMENDMENT

FIRST SP AMENDMENT. Shall mean the First Amendment to Agreement and Plan of Merger, dated of even date herewith, by and among Parent, TheSpark and the Former Stockholders, as the same now exists or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.
