Flipin Event

Flipin Event. Shall mean any event described in Section ------------- 11(a)(ii)(A), 11(a)(ii)(B) or 11(a)(ii)(C) hereof.

Flipin Event. Notwithstanding the foregoing or anything in this Agreement to the contrary, the definition of Flip-in Event shall not include a Mattson transaction, including the consummation of such a transaction, or the execution of any merger agreement or any other document forming part of such a transaction.

Flipin Event. Notwithstanding anything in this Agreement to the contrary, none of (i) the announcement of the Merger (as such term is defined in the Merger Agreement), (ii) the execution of the Merger Agreement or (iii) the consummation of the Merger or of the other transactions contemplated by the Merger Agreement shall be a Flip-In Event.

Flipin Event. Notwithstanding anything in this Agreement to the contrary, none of the Merger Events shall be a Flip-In Event or have the effect specified in Section 11(a)(ii).
