Form S‐3

Form S‐3. Means a Registration Statement on Form S-3 or any similar short-form registration that may be available at such time.

Form S‐3. Shall mean Form S-3 issued by the Commission or any substantially similar form then in effect.

Form S‐3. Or any similar short-form registration which may be available at such time ("Form S-3");

Form S‐3. Means such form under the Securities Act as is in effect on the date hereof or any successor registration form under the Securities Act subsequently adopted by the SEC (as defined below) which permits inclusion or incorporation of substantial information by reference to other documents filed by the Company with the SEC (as defined below).

Form S‐3. Means Form S-3 or Form F-3 under the United States Securities Act of 1933, as amended (the "Securities Act"), as in effect on the date hereof or any registration form under the Securities Act subsequently adopted by the SEC which permits inclusion or incorporation of substantial information by reference to other documents filed by the Company with the SEC.

Form S‐3. Has the meaning set forth in §5(a)(iv).

Form S‐3. Means a Form S-3 registration statement under the Securities Act, and any successor or similar form thereto.

Form S‐3. Form S-3 promulgated by the Commission under the Securities Act, or any successor or similar short-form registration statement.

Form S‐3. Mean such forms under the Securities Act as in effect on the date hereof.
