Example Definitions of "Former Employees"
Former Employees. Means all former employees of Vialta, except for employees then employed by ESS Technology Group, as of the Distribution Date, and the dependents and, as applicable, the alternate payees, of those persons who, if they were -1- 3 actively engaged in the performance of services to, for or on behalf of Vialta at the Distribution Date, would be an Active Employee, determined on a basis consistent with the determination of the Active Employees.
