Example Definitions of "FOUNDERS COST"
FOUNDERS COST. Means $1,000 per share (such amount to be equitably adjusted, upward or downward, for stock splits, stock dividends and recapitalizations), provided that the Founder's Cost of Executive Shares purchased pursuant to the exercise of Options shall be the exercise price, if any, actually paid therefor, and if such Options have not been exercised, the Founder's Cost of such Options shall be the greater of $0.01 per Option or the cash price actually paid therefor.
