Founders Stock

Founders Stock. Shall mean all shares of Common Stock held by Founder, excluding shares of Common Stock which have been (a) registered under the Securities Act pursuant to an effective registration statement filed thereunder and disposed of in accordance with the registration statement covering them or (b) publicly sold pursuant to Rule 144 under the Securities Act.

Founders Stock. The Common Stock acquired by the Founders pursuant to the Founder's Stock Purchase Agreements with the Company; provided, however, that, for the purposes of Sections 5.1, 5.2 and 5.3, Founders' Stock shall not include any Common Stock subject to a right of repurchase in favor of the Company pursuant to a Founder's Stock Purchase Agreement between the Company and a Founder unless, until, and to the extent that such right of repurchase has lapsed
