Example Definitions of "Founders Stock"
Founders Stock. Shall mean all shares of Common Stock held by Founder, excluding shares of Common Stock which have been (a) registered under the Securities Act pursuant to an effective registration statement filed thereunder and disposed of in accordance with the registration statement covering them or (b) publicly sold pursuant to Rule 144 under the Securities Act.
Founders Stock. Shall mean all shares of Common Stock held by Founder, excluding the Founders, except such shares of Common Stock which have been (a) registered under the Securities Act pursuant to an effective registration statement filed thereunder and disposed of in accordance with the registration statement covering them or them, (b) publicly sold pursuant to Rule 144 under the Securities Act. Founders Stock. Means shares of Common Stock held by any Founder or Founder's Transferee. -2-
Founders Stock. Means the 3,400,000 shares of Common Stock to be owned by the Founders upon consummation of the transactions contemplated by Section 1.01 and Section 1.04 of the Purchase Agreement.
Founders Stock. Shall have the meaning ascribed thereto in the introductory paragraph to this Agreement and shall also include any securities issued upon exchange, adjustment or transfer of any such shares, the certificates for which are required by the provisions of Section 2 hereof to bear the legend set forth in such Section.
