Foundry Product. Means an Image or Embedded System which is either (i) designed by or for a third party without substantial input from COMPANY, and manufactured, reproduced, sold, leased, licensed or otherwise transferred from COMPANY to that third party (or to customers of, or as directed by, that third party) on essentially an exclusive basis; or (ii) designed, manufactured, reproduced, sold, leased, licensed or otherwise transferred through or by COMPANY to a third party (or to customers of, or as directed... by, that third party) for the primary purpose of attempting to circumvent the non-assertion of patents provisions set forth in Section 12 that otherwise would apply to such Image or Embedded System if manufactured and licensed directly by such third party.
