Fractional Share Cash Amount

Fractional Share Cash Amount. Means the cash value determined using the Average VWAP as the price of the Common Stock (the "Fractional Share Cash Amount") of any fractional shares remaining after subtracting from the Delivery Value Amount the product of the Delivery Number of Shares and the Average VWAP.
