Example Definitions of "FRENCH EMPLOYEE"
FRENCH EMPLOYEE. Shall mean any employee ("salarie") of the Company or any of its Affiliates, provided he or she (i) is a tax resident in France as per the relevant French or international tax rules applicable to such employee, (ii) does not own more than ten percent (10%) of the Company's Stock on the Grant Date and (iii) is not a member of the board or of the board of an Affiliate except in the case where he or she is a French Officer.
