Fullest Extent Permitted By Applicable Law. Includes, but is not limited to: (a) to the fullest extent permitted by the applicable provision of the Companies Act, or the corresponding provision of any amendment to or replacement of the Companies Act, and (b) to the fullest extent authorized or permitted by any amendments to or replacements of the Companies Act adopted after the date of this Agreement that increase the extent to which a corporation may indemnify its directors and officers.

Fullest Extent Permitted By Applicable Law. Includes, but is not limited to: (a) to the fullest extent permitted by the applicable provision of the DGCL, or the corresponding provision of any amendment to or replacement of the DGCL, and (b) to the fullest extent authorized or permitted by any amendments to or replacements of the DGCL adopted after the date of this Agreement that increase the extent to which a corporation may indemnify its directors and officers. 14

Fullest Extent Permitted By Applicable Law. 1.4 The term "fullest extent permitted by applicable law" shall mean the fullest extent authorized or permitted under applicable statutory or decisional law as amended or interpreted from time to time.
