Fully Diluted Common Stock. Means the outstanding Common Stock and the shares of Common Stock issued or issuable upon conversion in full of the shares of Series C Preferred Stock and exercise in full of the Warrants, together with all other Equity Securities of the Company outstanding as of any applicable record or measure date, treated on an as-if-converted or as-if-exercised basis, as applicable
Fully Diluted Common Stock. The total number of shares of Common Stock, assuming the full exercise of all options, warrants and other securities or instruments of the Company issued and outstanding that are convertible, exercisable or exchangeable for shares of Common Stock (whether or not such securities are then vested, exercisable or in-the-money)
Fully Diluted Common Stock. Fully Diluted Common Stock. Means as of the date of measurement, the sum of (a) all outstanding shares of the Company's common stock; (b) all outstanding shares of the Company's preferred stock (if any) on an as-converted to common stock basis; and (c) all shares of common stock issuable pursuant to exercise or conversion of all outstanding options, warrants or convertible securities, including all shares of common stock reserved for grant pursuant to any stock option plans.
