Example Definitions of "Fully Satisfied"
Fully Satisfied. With respect to the Secured Obligations as of any date, that, as of such date, (a) all principal of and interest accrued to such date which constitute Secured Obligations shall have been indefeasibly paid in full in cash, (b) all fees, expenses and other amounts then due and payable which constitute Secured Obligations shall have been indefeasibly paid in cash, (c) all outstanding letters of credit shall have been (i) terminated and surrendered, (ii) fully cash collateralized on terms... reasonably satisfactory to (x) with respect to Letters of Credit outstanding under the Credit Agreement, the Issuing Lender and the Required Lenders and (y) with respect to any other letter of credit, the issuer thereof, or (iii) secured by one or more letters of credit on terms and conditions, and with one or more financial institutions, reasonably satisfactory to (x) with respect to Letters of Credit outstanding under the Credit Agreement, the Issuing Lender and the Required Lenders and (y) with respect to any other letter of credit, the issuer thereof, and (d) the relevant commitments shall have expired or been terminated in full.
