Shall be calculated to include warrants, options, convertible securities and any other security convertible into or exercisable for common stock of the Company, but only to the extent that such security is "in the money" (in the reasonable judgment of the Board of Directors of the Company) and is exercisable for or convertible into Common Stock within 180 days of the date of determination.
