Fundamental Representations. Representations and warranties contained in Sections 3.1.1 (Execution and Effect of Agreement), 3.1.2 (Seller Organization and Good Standing; Binding Obligation), 3.1.4 (Ownership of Company Stock; Capitalization), 3.1.8 (Title to Purchased Assets), 3.1.14.1, 3.1.14.2, 3.1.14.3, and 3.1.14.7 (certain representations and warranties with respect to Intellectual Property), 3.1.15 (Inventory), 3.1.17 (No Conflicts; Consent), 3.1.20 (Employee Matters), 3.1.27 (Taxes), and 3.1.29 (Unwritten Contracts)
