Funded Debt. Shall mean any obligation of a Co-Borrower payable more than one year from the date of the creation thereof, which under GAAP is shown on the balance sheet as a liability (including, without limitation, Capital Lease Obligations and excluding reserves for deferred income taxes and other reserves to the extent that such reserves do not constitute an obligation); provided that any obligation shall be treated as Funded Debt, regardless of its term, if such obligation... is renewable pursuant to the terms thereof or of a revolving credit or similar agreement effective for more than one year after the date of the creation of such obligation, or may be payable out of the proceeds of a similar obligation pursuant to the terms of such obligation or of any such agreement. Funded Debt. Funded Debt. Funded Debt. Shall mean as of any applicable date of determination, that portion of Debt which consists of: (a) indebtedness for borrowed money, including that which is evidenced by notes, bonds, debentures or similar instruments; and (b) obligations under installment sales contracts or capital leases.

(ii) stating that such retirement was not effected by payment at maturity or pursuant to any applicable mandatory sinking fund or prepayment provision (other than provisions requiring retirement of any funded debt of the Partnership or a Subsidiary of the Partnership, as the case may be, under the circumstances referred to in this Section 4.11), and (iii) stating the then optional redemption or prepayment price applicable to the funded debt so retired or, if there is no such price applicable, the amount applied by the Partnership or a Subsidiary of the Partnership, as the case may be, to the retirement of such funded debt. In the event of such a sale or transfer, the Partnership shall deliver to the Trustee the Board Resolution referred to in the parenthetical phrase contained in subclause (4)(B) of this Section 4.11 and an Officer's Certificate setting forth all material facts under this Section 4.11.
