Gain. (i) to the extent that the Award was satisfied with a grant of Options, the amount by which the Fair Market Value per share of the Shares underlying such Option as of the date on which the Participant exercised the Option exceeded the exercise price of the Option;(ii) to the extent that the Award was satisfied by the grant of Restricted Stock that became vested, the Fair Market Value of those vested Shares on the earlier of the date on which the Participant incurred a Termination of Employment... or the date on which the Participant sold those Shares; and (iii) to the extent that the Award was satisfied in Cash, the amount of Cash paid to satisfy the Award.
