Genomics Business. Seller's Genomics Business (as defined below) in return for cash, (ii) Seller will assist in procuring the assignment to Buyer of the patents set forth on Annex A (the "Daikin Patents"), and (iii) Buyer will pay cash to Seller following the completion of such assignment of the Daikin Patents to Buyer.
