Bank and Company are parties to that certain Amended and Restated Revolving Loan Product Program Agreement dated as of August 20, 2010 and that certain Amended and Restated Receivables Sale Agreement dated as of August 20, 2010 which together define an open-end consumer financing program for qualifying customers of Company's Gettington.com brand (the "Gettington Program");
