The occurrence of any Fundamental Transaction or other Corporate Event in which either x neither the Successor Entity nor its Parent Entity in such Fundamental Transaction is a publicly traded corporation with common equity that is quoted on or listed for trading on an Eligible Market or y thereafter, the Warrant Shares are not exercisable into common equity that is quoted on or listed for trading on an Eligible Market
