Good Reason

Good Reason. (i) a material adverse change in Employee's duties, responsibilities, title or reporting relationship, (ii) a material reduction in Employee's annualized base salary without your prior consent (other than in connection with, and in an amount substantially proportionate to, reductions made by the Company to the annualized base salaries of its other senior executives), or (iii) the relocation of Employee's principal business location following a Change in Control, such that Employee's daily... commute is increased by at least 50 miles. Good Reason. Shall mean if you resign from your employment with the Company in connection with one or more of the following events: (i) a reduction of 5% or more of your base salary; (ii) a reduction of 5 percentage points or more of your annual target bonus opportunity (expressed as a percentage of base salary); (iii) a material adverse change in the aggregate level of other employee benefits to which you were entitled prior to the change (other than those changes precipitated by a material change in... applicable law, including the Patient Protection and Affordable Care Act), (iv) a material change in your duties and responsibilities for the Company (without your consent) from those duties and responsibilities for the Company in effect prior to such change, which change results in the assignment of duties and responsibilities inferior to your duties and responsibilities prior to such change, or (v) a requirement by the Company that you relocate to a location that is greater than 50 miles from the location of the office in which you primarily perform your duties of employment at the time of such relocation (collectively, a "Good Reason Event"). You must provide written notice of your resignation for Good Reason to the Company within 45 days of the occurrence of any Good Reason Event in order for your resignation for Good Reason to be effective hereunder. Upon receipt of such notice, the Company shall have 30 days (the "Cure Period") to rectify the Good Reason Event. If the Company fails to rectify the Good Reason Event prior to the expiration of the Cure Period, then you may terminate employment within 10 days following the expiration of the Cure Period (the "Good Reason Termination Period") and receive the benefits provided under this Agreement. Good Reason. The occurrence of any of the following events or conditions, without Executive's express written consent: (i) a material reduction in Executive's base salary (other than a reduction generally applicable to executive officers of Redfin and in generally the same proportion as for Executive); (ii) a material reduction in Executive's authority, duties or responsibilities at Redfin; (iii) a change in the geographic location at which Executive must perform services which results in an increase in the... one-way commute of Executive by more than 50 miles; or (iv) Redfin's material breach of this Agreement comprised of its failure to ensure assumption of this Agreement by its successor, as set forth in Section 5(a) hereof. With respect to each of subsection (i), (ii), (iii) and (iv) above, Executive must provide notice to Redfin of the condition giving rise to "Good Reason" within ninety (90) days of the initial existence of such condition, and Redfin will have thirty (30) days following such notice to remedy such condition. Good Reason. A voluntary termination by Employee following: (i) a material diminution in either Employee's compensation or position and responsibilities, (ii) relocating the Employee's office location to a location more than thirty-five (35) miles from Choice's prior principal place of employment; (iii) a material change in Employee's title or line of reporting; (iv) failure of Choice to place Employee's name in nomination for election or re-election to the Board of Directors; (v) a change in Choice's... annual bonus program that would materially and adversely affect Employee; (vi) failure of any successor of Choice to assume this Agreement; (vii) any Non-Renewal initiated by Choice, and (viii) any other material breach by Choice of this Agreement or any equity agreement between Employee and Choice; provided such termination occurs within forty-five days of Employee's knowledge of the foregoing Good Reason(s). Employee must provide Choice with at least thirty (30) days' prior written notice of electing a Good Reason termination, during which Choice shall have the opportunity to cure such Good Reason for termination. (i) a significant reduction of Executive's duties, position, reporting structure, or responsibilities, relative to Executive's duties, position, reporting structure or responsibilities as of the Effective Date; (ii) a reduction in Executive's Base Salary or Annual Bonus as of the Effective Date; (iii) the relocation of Executive's place of employment to a facility or location more than thirty-five (35) miles from Executive's current place of employment.

Good Reason. Means a Separation from Service by the Employee within ninety days after any of the following events, unless the Employee consents to the applicable event: (i) a material diminution in the Employee's base compensation, (ii) a material diminution in the Employee's authority, duties or responsibilities, (iii) a material diminution in the authority, duties, or responsibilities of the supervisor to whom the Employee is required to report, (iv) a forced relocation of Employee's principal place of... employment to a location more than 50 miles from the Employee's then-current principal place of employment, or (v) a material breach by the Corporation or the Partnership or one of their subsidiaries or affiliates of the agreement under which the Employee provides services. Notwithstanding the foregoing, no Good Reason will have occurred unless and until the Employee has: (A) provided the Corporation, the Partnership or the applicable subsidiary or affiliate, within sixty days of Employee's knowledge of the occurrence of the facts and circumstances underlying the Good Reason event, written notice stating with specificity the applicable facts and circumstances underlying such finding of Good Reason and (B) provided the Corporation, the Partnership or the applicable subsidiary or affiliate with an opportunity to cure the same within thirty days after the receipt of such notice.
