Grant Date Fair Value

Grant Date Fair Value. (h) "Grant Date Fair Value" shall mean the fair value of an equity award as of the date of grant as determined by the Company, in its sole discretion, in accordance with Statement of Financial Accounting Standard No. 123(R), "Share-Based Payment", using the valuation methods and assumptions used by the Company in accounting for equity awards as of such date of grant.
