Gross Value

Gross Value. With respect to consideration received by the Company, the value of all consideration (in all cash and non-cash forms) received. All such consideration shall be measured in actual dollars received, when paid in cash, and, when payable in a form other than cash, the fair market value of the non-cash consideration. The fair market value of any non-cash consideration shall be determined in good faith by the Board of Directors of Athersys.
