Guggenheim Common Unit Threshold. Means the ownership by the Guggenheim Investors of at least: (i) 5% of the total Common Percentage Interests (determined on a fully-diluted basis) or (ii) 25% of the Common Units issued to the Guggenheim Investors as of the date hereof.
