Example Definitions of "Health Benefits Continuation Coverage"
Health Benefits Continuation Coverage. Means the Company and Participant will share responsibility for the payment of premiums required to maintain medical, dental and vision COBRA continuation coverage for Participant and the Participant's dependents and beneficiaries under the Company's group health insurance plan(s). Such payments shall be allocated as follows: Participant will pay the same dollar portion of the premium which Participant has been paying prior to the Termination Date (or such amount that other similarly situated... executives who continue in the employ of the Company during the Health Benefits Continuation Period would pay for elected coverage). The Company's obligation hereunder with respect to the foregoing benefits shall be limited to the extent that the Participant obtains any such benefits pursuant to a subsequent employer's benefit plans, in which case the Company may reduce the coverage of any benefits it is required to provide the Participant hereunder as long as the aggregate coverages and benefits of the combined benefits plans is no less favorable to the Participant than the coverages and benefits required to be provided hereunder. This definition shall not be interpreted so as to limit any benefits to which the Participant, the Participant's dependents or beneficiaries may be otherwise entitled under any of the Company's employee benefit plans, programs or practices following the Participant's termination of employment.
