Heller Warrant

Heller Warrant. The Company's Warrant for the purchase (subject to adjustment as provided therein) of 367,238 shares of Class B Common Stock, issued to Heller Financial, Inc. pursuant to that certain Warrant Agreement, by and between the Company and Heller Financial, Inc., dated November 10, 1994, as amended by that certain First Amendment to Warrant Agreement, dated as of June 15, 1998 (the "Heller Warrant Agreement").

Heller Warrant. Means the Company's Warrant for the purchase (subject to adjustment as provided therein) of 367,238 shares of Class B Common Stock, issued to Heller Financial, Inc. ("Heller") pursuant to that certain Warrant Agreement, by and between the Company and Heller, dated November 10, 1994.
