Highest Base Salary
Highest Base Salary. Means the greater of (i) the Executive's annual base salary for the calendar year immediately preceding the calendar year in which the Change in Control occurs, or (ii) the Executive's annual base salary as in effect at the time of a Pre-October 2005 Change in Control or the Executive's annual base salary as in effect at the time of termination in the event of a Post-October 2005 Change in Control.
