Example Definitions of "Holdback Amount"
Holdback Amount. Means the portion of the consideration received by the Company and/or the stockholders in connection with a Sale of the Company that is required to be retained by the terms of the Transaction Documents, including, without limitation, amounts retained for purchase price adjustments and indemnification obligations. 14
Holdback Amount. Means the portion of the consideration received by the Company and/or the stockholders in connection with a Sale of the Company that is are required to be retained by the terms of the Transaction Documents, definitive documentation entered into in connection with such Sale of the Corporation including, without limitation, amounts retained for purchase price adjustments and indemnification obligations. 14

Holdback Amount. Means, in relation to each Stockholder, the dollar amount equal to the product of (x) the Total Merger Consideration payable to such Stockholder pursuant to the terms and conditions of the Merger Agreement, multiplied by (y) 0.65.
