Holder

Holder. Shall mean the Shareholder and any member of the Shareholder who is the beneficial owner of any of the Shares or the Additional Shares.

Holder. Shall mean each Holder and any transferee of Registrable Securities from a Holder who, pursuant to Section 15 below, is entitled to registration rights hereunder.

Holder. Means any Stockholder who owns Registrable Shares. For purposes of this Agreement, the Company may deem and treat the registered holder of Registrable Shares as the Holder and absolute owner thereof, and the Company shall not be affected by any notice to the contrary.

Means any Investor or Common Holder holding Registrable Securities, or any assignee of record of such Registrable Securities to whom the rights under this Agreement have been duly assigned in accordance with this Agreement; provided, that for purposes of this Agreement, a holder of shares of Series A-1 Preferred Stock shall be deemed to be the Holder of the number of shares of Common Stock issuable upon conversion of such shares of Series A-1 Preferred Stock; provided, further, that the Common... Holder. Of any security means the record or beneficial owner of such security.

Holder. Any person owning or having the right to acquire Registrable Securities or any assignee thereof in accordance with Section 2.10 of this Agreement. For the purposes of Sections 2.1, 2.3, 2.11 and 2.12, "Holder" shall mean only the Investors. For the purposes of Section 2,2, "Holders" shall mean only the Investors, Payam Zamani, the Zamani Family Trust, May One LLC and Victor Choy.

Holder. Means each Offeree or any of such Offeree's respective successors and Permitted Assignees who acquire rights in accordance with this Agreement with respect to the Registrable Securities directly or indirectly from a Offeree or from any Permitted Assignee. 2

Holder. Any Person owning or having the right to acquire Registrable Securities or any assignee thereof in accordance with Section 2.12 hereof; provided, however, that for purposes of Sections 2.1, 2.11, 2.13 and 6.6, Key Holders (and their assignees) shall not be deemed to be "Holders".

Holder. Shall mean and include the Hallac Members and any transferee, assignee or successor of the Holders, subject to the restrictions set forth at the beginning of this Note.
