Holders Special Common Percentage

Holders Special Common Percentage. Means in respect of a given Holder a fraction, the numerator of which is the value of the shares of Parent Common Stock deposited into the Special Escrow Deposit as of the Effective Time and allocated to such Holder, and the denominator of which is the aggregate value of all shares of Parent Common Stock deposited into the Special Escrow Deposit at Closing.
