HSR Approval

HSR Approval. Means, to the extent applicable, any waiting period applicable to the Transactions under the HSR Act shall have expired or been terminated, and no Governmental Authority shall have applied for an injunction or other order under the Antitrust Laws of the United States or any state thereof with respect to the Exchange Offer.
