Implicit PreIPO Value. Shall be equal to (a) the Total Price to the Public divided by the percentage (stated as a decimal) that the number of shares of Newco Common sold pursuant to the IPO represents of the total number of shares of Newco Common to be outstanding immediately following the IPO, minus (b) the Primary Offering Proceeds.
