Example Definitions of "Incentive Fees"
Incentive Fees. All amounts paid or distributed to Private Capital in its capacity as investment manager, general partner or managing member of the Fund that are in excess of distributions payable to Private Capital in respect of its or its affiliates' percentage interest (whether as general partner, limited partner or member) in the Fund's capital; provided, however, that Incentive Fees shall not include (i) management fees, whether or not payable as a distribution by the Fund, payable to Private Capital that... are based on a fixed percentage of a Fund's capital, capital commitments, net asset value or similar amount (i.e., "management fees"), (ii) dividends, distributions and/or interest earned on investments in preferred stock or debt securities of the Funds, (iii) fees paid to Private Capital in its capacity as investment advisor to investment companies registered under the Investment Company Act of 1940, as amended and (iv) any other fees payable by a Fund to Private Capital of its affiliates in respect of services provided to the Fund. Incentive Fees. Fees agreed to between Borrower and the Waiving Lenders pursuant to writings acceptable to those Lenders, in consideration for the waiver by the relevant Extending Lenders of the Required Payments which would otherwise be made to them.
Incentive Fees. With respect to any period and any Incentive Fee Fund, any incentive or performance fee, carried interest or similar fee or allocation customarily considered an incentive or performance fee or carried interest actually received by the Adviser from such Incentive Fee Fund in cash or securities in respect of such period, net of any such amounts that are paid or payable to or passed through to a sub-advisor or other party, including by way of performance fee related compensation.

Notwithstanding anything to the contrary herein, the Committee, in its sole discretion, can determine and alter the definition of Incentive Fees with respect to any Fund for any Bonus Pool. For the avoidance of doubt, it is intended that the definition of Incentive Fees shall not include any portion of an applicable incentive fee or promote (or equivalent) that was paid by the Fund based on the Company Group's percentage ownership interest in the applicable Fund as of the Incentive Fee Calculation Date.
