Indemnifiable Costs
Indemnifiable Costs. Any and all Expenses, liability or loss, judgments, fines and amounts paid in settlement and any interest, assessments, or other charges imposed thereon, and any federal, state, local, or foreign taxes imposed as a result of the actual or deemed receipt of any payments under this Agreement.

Indemnifiable Costs. Shall mean Expenses, judgments, fines, penalties or amounts paid in settlement that are incurred or paid by Indemnitee in connection with prosecuting or defending, or preparing to prosecute or defend a Claim, or serving as a witness with respect to a Claim, but shall not include any amounts that have already been paid directly to the Indemnitee pursuant to the provisions of Section 3 hereof. 3
