Indemnifiable Event

Indemnifiable Event. Any event or occurrence, whether occurring before, on, or after the date of this Agreement, related to (a) Indemnitee serving as a trustee, fiduciary, representative, or agent of the Plan following the Closing Date; (b) the failure to pay over contributions into the Plan after the Closing Date; or (c) by reason of an action or inaction by Successor Trustee, Buyer, any Indemnitor, or any of their officers, directors, employees, agents, or affiliates in any capacity (whether or not serving in... such capacity at the time any Loss is incurred for which indemnification can be provided under this Agreement) with respect to the Plan. Indemnifiable Event. Shall mean any circumstance, event or occurrence related to the fact that Indemnitee is or was a director or officer of the Company, or is or was serving at the request of the Company as a director, officer, employee, trustee, agent or fiduciary of any other Enterprise, or by reason of anything done or not done, or alleged to have been done or not done, by Indemnitee in any such capacity

Indemnifiable Event. Means any event or occurrence related to the fact that the Indemnitee is, or was, a Personnel or by reason of anything done or not done, or allegedly done or not done, by the Indemnitee in the Indemnitee's capacity as a Personnel.

Indemnifiable Event. Shall mean any alleged event or occurrence related to anything done, not done, or witnessed by Indemnitee in any capacity listed in this sentence, and further related to the fact that Indemnitee (a) is or was a director, officer, agent, or employee of the Company, (b) is or was serving, at the request of the Company, as a director, officer, employee, trustee, agent, limited partner, member or fiduciary of another foreign or domestic corporation, partnership, joint venture, employee benefit... plan, trust, or other enterprise, and/or (c) was a director, officer, employee, or agent of a foreign or domestic corporation that was a predecessor corporation of the Company, or of another enterprise at the request of such predecessor corporation. (i) any event or occurrence that takes place either prior to or after the execution of this Agreement, related to the fact that Covered Person is or was a director, officer, secretary or employee of Parent, or while a director, officer or secretary of Parent is or was serving at the request of the Company as a director, officer, secretary, employee, trustee, agent, or fiduciary of any other Enterprise, or related to anything done or not done by Covered Person in any such capacity, whether or... not the basis of the Proceeding is alleged action in an official capacity as a director, officer, secretary, employee, trustee, agent, or fiduciary or in any other capacity while serving as a director, officer, secretary, employee, trustee, agent, or fiduciary, or (ii) any event or occurrence that took place prior to the Effective Time, related to the fact that Covered Person was a director or officer of Pentair Ltd., or while a director or officer of Pentair Ltd. was serving at the request of Pentair Ltd. as a director, officer, employee, trustee, agent, or fiduciary of any other Enterprise, or was a director, officer, employee, trustee, agent, or fiduciary of a foreign or domestic corporation that was a predecessor corporation of Pentair Ltd. or another Enterprise at the request of such predecessor corporation, or related to anything done or not done by Covered Person in any such capacity, whether or not the basis of the Proceeding is alleged action in an official capacity as a director, officer, employee, trustee, agent, or fiduciary or in any other capacity while serving as a director, officer, employee, trustee, agent, or fiduciary. Indemnifiable Event. Shall be broadly construed and shall include without limitation any event or occurrence related to the fact that Indemnitee is or was a director, manager, member, officer, managing member or serves or served in a similar capacity of a Covered Entity.
