Indemnifiable Event

Indemnifiable Event. Means any event or occurrence, whether occurring before, on or after the date of this Agreement, related to the fact that Indemnitee is or was a director, officer, employee or agent of the Company or any subsidiary or predecessor of the Company, including for the avoidance of doubt Terrestrial Energy Development Inc., a Delaware corporation formerly known as "Terrestrial Energy Inc.", or is or was serving at the request of the Company as a director, officer, employee, member, manager, trustee... or agent of any other corporation, limited liability company, partnership, joint venture, trust or other entity or enterprise (collectively with the Company, "Enterprise") or by reason of an action or inaction by Indemnitee in any such capacity (whether or not serving in such capacity at the time any Loss is incurred for which indemnification can be provided under this Agreement). 2 (l) "Independent Counsel" means a law firm that is experienced in matters of corporation law and neither presently performs, nor in the past three (3) years has performed, services for either: (i) the Company or Indemnitee or (ii) any other party to the Claim giving rise to a claim for indemnification hereunder. "Independent Counsel", however, shall not include any person who, under the applicable standards of professional conduct then prevailing, would have a conflict of interest in representing either the Company or Indemnitee in an action to determine Indemnitee's rights under this Agreement. Indemnifiable Event. Means any event or occurrence, whether occurring before, on or after the date of this Agreement, related to the fact that Indemnitee is or was serving in a Covered Position or by reason of an action or inaction by Indemnitee in any such capacity (whether or not serving in such capacity at the time any Loss is incurred for which indemnification can be provided under this Agreement).

Indemnifiable Event. Means any event, occurrence or omission related to the fact that Indemnitee is or was a director or senior officer of the Company, or is or was serving at the request of the Company as a director, officer, employee, trustee, agent or fiduciary of another corporation, partnership, joint venture, employee benefit plan, trust or other enterprise; provided, however, that an Indemnifiable Event shall not include any event or occurrence that is not indemnifiable by the Company under applicable law.

Indemnifiable Event. Shall mean any actual or asserted event or occurrence related to the fact that Indemnitee is or was a director, officer, employee, agent or fiduciary of the Company, or is or was serving at the request of the Company as a director, officer, partner, employee, trustee, agent or fiduciary of another corporation, partnership, joint venture, employee benefit plan, trust or other entity, or anything done or not done by Indemnitee in any such capacity. Without limiting the generality of the... foregoing, the definition of Indemnifiable Event shall include the acts of Indemnitee in his capacity as an officer of the Company, at any time before, on or after the date of this Agreement: (i) in designing and engineering tenant improvements or other improvements to be constructed at or in buildings or other properties owned by the Company or any of its affiliates; (ii) in preparing, or supervising the preparation by other employees of the Company, of drawings and specifications for such tenant improvements or other improvements; (iii) in signing and affixing his seal as a registered architect to any such drawings and specifications; or (iv) in acting as architect for the construction of such tenant improvements or other improvements. Indemnifiable Event. Means any actual or asserted event or occurrence related to the fact that Indemnitee is or was a director or officer of the Company or Pillowtex Corporation, a Texas corporation ("PTX"), or anything done or not done by Indemnitee in any such capacity; provided, however, Indemnitee will not be indemnified by reason of the fact that he or she is or was a director or officer of PTX unless Indemnitee served in such capacity as of or following November 14, 2000.
