Indemnification. Provider shall indemnify, defend and hold Company ("Company Indemnified Parties") harmless from any third-party claim, damage, loss, liability, cost or expense (including reasonable third party counsel fees and disbursements of counsel) (collectively, "Claims") resulting or arising solely from any material breach by Provider of any of its express representations, warranties or covenants set forth in this Agreement.
