Independent Accountant

Independent Accountant. Means a mutually satisfactory nationally recognized accounting firm (other than Parent's, either Merger Sub's or the Company's accountants prior to the Closing, if any, and provided that such accounting firm is not engaged by Parent or any of its Affiliates).

Independent Accountant. Has the meaning set forth in (S) 2.7.

Independent Accountant. Means a mutually acceptable independent accounting firm;

Independent Accountant. Means the firm of Deloitte & Touche LLP or such other accounting firm of national standing appointed by the Buyer if Deloitte & Touche LLP is unable or unwilling to serve.

Independent Accountant. Means one of the Big 4 independent public accounting firms with no prior relationship with Parent or any Stockholder to be mutually agreed upon by Parent and the Stockholders in writing or as otherwise mutually agreed upon between the parties.

Independent Accountant. Means a nationally recognized accounting firm jointly selected by Buyer and Seller; provided, that if Buyer and Seller cannot agree on an accounting firm, Buyer and Seller shall each select a nationally recognized accounting firm and such accounting firms will jointly select an accounting firm.

Independent Accountant. An independent certified public accounting firm of nationally recognized standing designated either (a) jointly by the Acting Holders and Parent, or (b) if such parties fail to make a designation, jointly by an independent public accounting firm selected by Parent and an independent public accounting firm selected by the Acting Holders.

Independent Accountant. An independent accounting or financial valuation firm of national reputation (excluding the primary outside auditor of Honeywell and the primary outside auditor of NARCO Asbestos Trust) that is mutually agreed between Honeywell and the NARCO Asbestos Trust within ten (10) Business Days, provided, that such Independent Account shall be retained at Honeywell's sole expense
